1. Program Description
The “New Shop Referral Program” (the “Program”) enables a Referrer to earn commissions by referring new customers (the “Customer”), provided that such Customers generate Qualifying Orders on the SPX system in accordance with Section 6 below.
2. Eligible Participants
The Referrer must be a user of SPX services and maintain a valid and active SPX account. The Referrer may also be an employee of SPX Express Co., Ltd. (“SPX”) pursuant to Decision No. 407/2026/SPX/QĐ-SPX. However, in all cases, the Referrer must comply with SPX’s internal policies and regulations in effect from time to time.
SPX reserves the sole and absolute right to determine whether any individual is eligible to participate in the Program. In all circumstances, SPX’s decision shall be final and binding upon all relevant parties.
By agreeing to participate in the Program, the Referrer acknowledges and agrees to participate in an individual capacity as an independent party and to receive commissions for referring Customers to use SPX delivery services.
If the Referrer elects to discontinue participation in the Program prior to the commission payment date specified under these Terms and Conditions, the Referrer shall not be entitled to receive any benefits, incentives, or payments under the Program.
By participating in the Program, the Referrer agrees to be bound by these Terms and Conditions. In addition, the Referrer agrees to comply with SPX’s Terms of Use, Privacy Policy, and other policies and regulations publicly available on the SPX website and the SPX Express application (collectively, the “SPX Policies”), which are incorporated herein by reference and form an integral part of these Terms and Conditions.
3. Scope of Application
4. Program Participation Recording Period
Participation information will be accepted from 00:00 on 15 June 2026 until 23:59 on 31 December 2026, unless otherwise determined by SPX.
Note: The Program may be terminated earlier than anticipated. In the event of any changes, SPX will notify the Referrer prior to the scheduled Program end date.
5. Participation Mechanism
Step 1: The Referrer joins the Program using a unique referral code provided under the Program. The Referrer may obtain the referral code from the “New Shop Referral” section on the homepage of their SPX account and share such code with the referred Customer.
Step 2: The referred Customer creates a new SPX account and enters the Referrer’s referral code during the registration process.
i. The Customer’s account records the entry of the Referrer’s referral code during the Program period as specified in Section 4 hereof.
ii. The Customer’s information has not previously been recorded and has not generated any orders on the SPX system.
iii. Each Customer’s information may only be recorded for one (01) Referrer. In the event that one Customer is referred by multiple Referrers, the Customer shall be recorded for the first valid referral code entered chronologically.
Step 3: SPX verifies and records the Customer’s orders that satisfy the Program’s requirements.
Step 4: Prior to the commission payment date, SPX will notify the Referrer of the referral results and total commission amount, together with a form requesting necessary information.
The Referrer must accurately and fully complete such form in accordance with SPX’s instructions from time to time. SPX reserves the absolute right to refuse to recognize referral results, make commission payments, or resolve any related complaints.
Step 5: SPX shall credit the commission to the “Account Balance” set up by the Referrer on the SPX system. Commission payments shall be made in accordance with Section 6 hereof.
6. Commission Policy
a. Commission Entitlement
The Referrer shall be entitled to receive VND 1,000 for each order generated by a referred Customer that satisfies all of the following conditions:
The order reaches a final status within sixty (60) days from the date on which the Customer’s first order reaches a final status on the SPX system and during the Program Period; and
Such order is recorded on the SPX system with a final status of either “Successfully Delivered” or “Successfully Returned”.
The foregoing orders shall collectively be referred to as “Qualifying Orders”.
For the avoidance of doubt, SPX reserves the sole and absolute right, at any time, to determine the criteria for identifying a Qualifying Order without prior notice to, or consent from, the Referrer or any related party.
b. Commission Payment
Commissions shall be calculated and paid on a monthly basis. For each payment cycle, SPX shall aggregate the total number of Qualifying Orders generated by referred Customers and calculate the corresponding commission payable to the Referrer.
A Referrer successfully refers a Customer who registers a valid SPX account and enters the Referrer’s referral code. Beginning on January 10, the Customer generates orders on the SPX system and records a total of 150 orders with the status “Pickup Successful”, of which 120 orders subsequently reach the final status of “Successfully Delivered”.
Accordingly, those 120 orders shall be considered Qualifying Orders. In this case, the Referrer shall be entitled to a commission of VND 120,000.
Such commission shall be aggregated and paid during the payment cycle on January 20 in accordance with the Program’s then-current payment procedures and policies.
SPX consolidates commission payment lists on the 20th of each month. Commissions shall be paid within twenty (20) Business Days from the date the Referrer fully and accurately submits the required information as stipulated in Section 5, Step 4.
If the Referrer fails to complete or provides inaccurate information within the required timeframe, SPX reserves the absolute right not to recognize or pay any related commissions and shall not compensate any costs incurred by the Referrer.
For the purposes of this Program, a Business Day means a weekday excluding Saturdays, Sundays, and public holidays in accordance with applicable laws.
Valid Customer information must fully satisfy the requirements set out in Section 5.
The Referrer must complete account verification on the SPX system and ensure the accuracy of all required information. SPX shall not be responsible for any failure to receive commission payments due to incorrect account information provided by the Referrer.
Commission payments shall be made in accordance with SPX’s policies and regulations.
The commission amounts stated herein are inclusive of personal income tax (PIT). SPX shall withhold 10% PIT on payments exceeding VND 2,000,000 prior to disbursement in accordance with applicable tax laws. Where the Referrer earns other income from SPX, the VND 2,000,000 threshold shall be calculated based on total monthly income for PIT withholding purposes.
SPX reserves the right to delay commission payments without prior notice if the Referrer fails to comply with these Terms and Conditions or SPX Policies.
SPX may suspend or terminate a Referrer’s participation if SPX suspects fraudulent activities related to the Program.
7. Miscellaneous Provisions
a. By participating in the Program, the Referrer agrees to:
i. comply with all applicable laws and regulations;
ii. comply with SPX Policies;
iii. refrain from participating in the Program in any manner that may adversely affect others or harm SPX’s goodwill or reputation.
b. Participation in the Program constitutes the Referrer’s acknowledgment that he/she has read, understood, and accepted all terms and conditions herein.
c. SPX may use the Referrer’s profile image and account name for marketing and promotional purposes.
d. In the event of any dispute relating to the Program, SPX’s decision shall be final and binding, including referral results and commission amounts officially notified to the Referrer.
e. SPX reserves the right to refuse, suspend, reclaim, or offset commission payments where fraud is suspected or where the Referrer fails to meet Program eligibility requirements. Fraudulent conduct includes, but is not limited to, creating multiple accounts for personal gain, using automated tools to create accounts, linking Customer accounts to previously active SPX accounts, and/or other violations of SPX Policies.
f. Individuals receiving commissions under the Program are responsible for fulfilling all personal income tax obligations in accordance with applicable laws.
g. The Program and the SPX website/application are provided on an “as is” and “as available” basis. SPX makes no representations or warranties regarding performance, functionality, accessibility, or reliability of any related software, hardware, or telecommunications networks.
h. If the Program cannot be executed as planned due to reasons beyond SPX’s control, including network failures, software errors, fraud, or technical issues, SPX may cancel, terminate, modify, or suspend the Program without recognizing any results.
i. SPX reserves the final right to interpret and resolve all Program-related matters and may exclude any Referrer or take other actions under SPX Policies where suspicious, fraudulent, unlawful, or abusive conduct is identified.
j. To the maximum extent permitted by law, SPX shall not be liable for any claims, losses, damages, costs, injuries, or liabilities arising from or related to the Program, whether direct or indirect, incidental, punitive, or otherwise.
k. The Referrer bears full responsibility for all content used in connection with the Program, including obtaining valid Customer consent for information sharing and ensuring legality and intellectual property compliance, and shall indemnify SPX against any related claims.
l. SPX may amend these Terms and Conditions or withdraw or terminate the Program at any time without notice or liability. Continued participation constitutes acceptance of such amendments.
m. SPX shall not be liable for failure to perform obligations due to force majeure events, including natural disasters, pandemics, governmental actions, internet failures, cyberattacks, or labor disputes.
n. All rights to interpret these Terms and Conditions shall belong exclusively to SPX.
o. All references to time shall be construed as Vietnam time, unless otherwise stated. Last updated and effective as of 16 December 2025.
Last updated and effective as of 15 June 2026.
These Terms and Conditions supersede and replace in their entirety the previous New Shop Referral Program Terms and Conditions dated 26 December 2025, effective from the date stated above.
For the avoidance of doubt, participation in the Program and commission payments relating to orders generated on or after 15 June 2026 shall be governed by these Terms and Conditions.
