The “Chiến Thần Sales Shop” program (“Program”) is organized by SPX Express Co., Ltd. (“SPX” or the “Company”) to expand its Customer network and drive business growth by engaging operations staff to support the acquisition and development of new Customers in their assigned areas.
Under this Program, eligible participants (“Participants”) may introduce, connect with, and support the development of new Customers (as defined below) to use SPX services, and may receive a Customer Development Reward (“Reward”) in accordance with these Terms and Conditions.
This Program is intended to support SPX’s business development activities and does not change the nature of the existing employment relationship between SPX and the Participant.
2. Eligibility
The Program applies to personnel who fully satisfy all the following conditions:
a. They are official employees in SPX’s operations function at the time of participation;
b. They are working in areas, hubs, or departments within the Program scope as announced by SPX from time to time;
c. They are not under disciplinary review, not undergoing resignation-related procedures, and not otherwise restricted from participation under SPX internal rules. For clarity, “resignation-related procedures” means the employee (or Participant) has submitted a resignation notice to SPX at the time of registration or at any time during participation in the Program, regardless of the expected last working day or termination date. In such case, the employee (or Participant) will immediately be deemed ineligible for the Program, unless SPX decides otherwise; and
d. They have completed Program registration in accordance with SPX’s prescribed process.
Participation is voluntary. By joining the Program, employees agree to comply with these Terms and Conditions and all related SPX policies.
SPX has sole discretion to determine whether any person is eligible to participate in the Program. In all cases, SPX’s decision is final and binding on all relevant parties.
By agreeing to participate in the Program, the Participant confirms that participation is voluntary and that Rewards will only be recognized based on Eligible Orders (as defined below) generated by valid Customers developed by the Participant, in accordance with these Terms and Conditions.
If a Participant ceases participation in the Program for any reason, including but not limited to voluntary withdrawal or termination of employment with SPX, the Participant will only be entitled to Rewards for Eligible Orders recorded from the first day of the month up to the official date of cessation of participation.
Orders recorded after the Participant ceases participation will not be counted for Reward calculation.
By participating in the Program, the Participant also agrees to SPX’s Terms of Use, Privacy Policy, and other general policies and regulations published on spx.vn and the SPX Express application (collectively, the “SPX Policies”), which form an integral part of these Terms and Conditions.
3. Scope and Duration
The Program applies nationwide in Vietnam.
The Program is effective from 10 July 2026 until SPX decides to terminate it.
SPX may amend, suspend, or terminate the Program at any time at its sole discretion, without prior notice, and without any obligation to provide explanations for such decisions.
4. Definitions
For the purposes of these Terms and Conditions:
a. “Participant” means eligible operations personnel participating in the Program under Section 2 of these Terms and Conditions;
b. “Customer” means an individual, household business, company, or other organization (including a seller/shop or non-seller/non-shop) introduced, connected, or supported by the Participant to register for and use SPX postal/logistics services, and recognized by SPX as a valid user under the Program, specifically as stated in the note under Step 2 of Section 6;
c. “System” means the Program landing page, registration form, internal platform, or any other tool established by SPX to record participation information and Program results;
d. “Eligible Order” means an order from a valid Customer developed by the Participant that is recorded by SPX with the status “Pickup Successful” and is not later determined to be fraudulent or intended to improperly benefit from the Program. SPX has sole discretion, from time to time, to determine the criteria for an Eligible Order without notice to, or consent from, the Participant or any related party;
e. “New Customer” in the Month means a valid Customer, as described in the note under Step 2 of Section 6, who has completed signing a contract with SPX within that month (based on the contract effective date);
f. “New ADO” (Average Daily Orders) means the average daily number of orders from New Customers directly converted by the Participant, during the first 0–60 days from the date the Customer first generates an Eligible Order.
5. Participant Obligations and Responsibilities
5.1 Participant Obligations
By participating in the Program, the Participant agrees to perform Customer Development Activities (“Activities”), including customer search and market development to increase sales of the Company’s postal/logistics services, specifically:
a. Searching for Customers and introducing the Company’s postal/logistics services to them;
b. Guiding and supporting Customers throughout the full journey, from initial contact and service registration to service usage and until the Customer stops using the service, including:
Advising on and closing the pricing scheme;
Guiding the Customer to register and create a valid SPX account;
Collecting Customer information for contract preparation;
Following up and supporting the Customer during contract signing;
Informing the Customer once registration and pricing assignment are completed;
Supporting the Customer during service usage.
5.2 Participant Responsibilities
By participating in the Program, the Participant agrees to:
a. Comply with all SPX policies, rules, and instructions during participation;
b. Not engage in fraud, impersonation, false data creation, or abuse of the Program in any form;
c. Not make commitments, representations, or statements on behalf of SPX beyond the permitted scope;
d. Ensure that participation in the Program does not negatively affect operational quality, work performance, or any employment obligations at SPX; and
e. Consent to SPX processing the information provided for the purpose of implementing, managing, and evaluating the Program in accordance with SPX’s Privacy Policy.
6. How to Participate
Step 1: Registration
The Participant registers for the Program through the System provided by SPX.
(*) Note:
Registration is only valid if all the following are satisfied:
a. It is submitted through the correct channel and in the correct process prescribed by SPX;
b. It meets all conditions under these Terms and Conditions; and
c. The Participant receives a confirmation email stating that registration was successful after registration through the System.
Recognition of registration does not mean SPX automatically confirms that the Participant remains eligible at all times. SPX may, at any time, determine and take action against cases where a Participant is not eligible under these Terms and Conditions.
Step 2: Customer Development Activities
The Participant carries out the Activities set out in Section 5.1.
(*) Note:
A Customer is considered valid only if all the following conditions are met:
i. The Customer has a valid SPX account, has completed signing a contract with SPX, and uses SPX postal/logistics services to ship goods through SPX, without generating invalid orders, fraudulent orders, fake transactions, or any conduct intended to improperly benefit from the Program, as determined by SPX;
ii. The Customer is not the Participant;
iii. The Customer is not an SPX employee (including official employees, interns, labor collaborators, BPO/OS personnel, etc.) working at SPX during the Program period;
iv. The Customer is either a New Seller or a Reactivated Seller who has stopped placing orders for at least 60 consecutive days. For a Reactivated Seller, the 60-day period is calculated from the date of the last order previously recorded as “Pickup Successful” before inactivity, to the date of the first order recorded as “Pickup Successful” after reactivation;
v. The Customer is not an existing Customer or a Customer already being directly managed, serviced, or developed by SPX’s Business Development/Sales team; and
vi. The Customer satisfies SPX’s internal operational, legal, and business criteria.
For clarity, the Participant must be the person who performs the “First valid customer approach”.
“First valid customer approach” means the first interaction between the Participant and the Customer that meets all of the following criteria:
i. “Approach activity”: The Participant directly contacts, communicates with, advises, provides information to, and successfully persuades the Customer to register for SPX services, including signing the service contract and creating an SPX account;
ii. “First”: It is the earliest recorded time at which the customer approach is successfully made; and
iii. “Valid”: The approach fully complies with the Program rules and all other implementation documents and guidance.
Supporting evidence of customer approach activities may include:
Customer communication history;
Message logs, call recordings, or consultation video/audio records;
Photos of in-person meetings with the Customer;
Other verifiable documents proving the approach.
➢ SPX has sole discretion to assess and determine the validity of the Customer, the Participant, Program results, and all evidence provided by the Participant, including but not limited to data recorded in SPX systems.
➢ If at any time SPX determines that a Customer or Participant does not satisfy any Program condition, or has provided incomplete, inaccurate, or suspicious/fraudulent information, SPX may refuse recognition, cancel results, withhold payment, and/or recover all or part of any Reward already paid.
➢ If the same valid Customer is approached by more than one Participant, SPX will recognize the Participant whose first valid customer approach is first recorded in the System database.
➢ The Participant is responsible for providing complete and accurate information as requested by SPX. SPX may refuse recognition of results or payment if the information is incomplete, inaccurate, or suspicious/fraudulent.
Step 3: Verification
SPX will verify and record the Customer’s orders that satisfy the Program requirements during the relevant month (from the 1st day to the last day of each month).
Step 4: Reward Payment
SPX will pay the Reward to the Participant in accordance with Section 7.
7. Reward Basis and Payment Method
7.1 Reward Basis
The monthly Reward payable to the Participant consists of:
(A) Customer Development Reward based on order volume, and (B) Incentive Reward (conditional).
(A) Customer Development Reward based on order volume
The Customer Development Reward is calculated based on the total shipping fees of Eligible Orders from valid Customers developed by the Participant.
Formula:
Customer Development Reward = Reward Rate × Total Shipping Fees of Eligible Orders (VAT included)
For clarity:
SPX may adjust the Reward amount from time to time based on business needs and operational conditions, as announced by SPX at the relevant time. The actual Reward applied will follow the policy and announcement effective at the time the Participant satisfies all conditions.
The above Reward applies to each eligible Participant individually. The Reward amount is inclusive of the Participant’s personal income tax (PIT). PIT will be declared and withheld by SPX in accordance with applicable law.
SPX may apply adjustments, deductions, or offsets relating to invalid orders, returned orders, or other cases in accordance with SPX’s internal policies from time to time.

During the first 03 months of participation in the Program, a Participant may receive an additional incentive of up to VND 1,000,000 per month if both conditions (a) and (b) are satisfied.

Mr. A continues in the Program in July.
In July, Mr. A does not develop any additional New Customer. Customers X and Y maintain the same order volume as in the previous month.
Assume the average shipping fee is VND 18,000 per order, and the month has 30 days.

7.2 Payment Method
The Reward will be paid on a monthly aggregation basis. In each cycle, SPX will compile the number of Eligible Orders to calculate the Reward for the Participant.
(*) Note:
SPX will finalize the reward payment list on the 20th day of the following month, and the Reward will be paid during that month’s payroll cycle.
Valid Customer information must satisfy all requirements stated in Section 6.
The Participant’s Reward will be paid in accordance with SPX policies/regulations.
SPX may delay Reward payment without prior notice if the Participant fails to comply with these Terms and Conditions or SPX policies.
SPX may suspend or terminate a Participant’s eligibility if SPX suspects the Participant is involved in fraudulent activities in connection with the Program.
8. Other Terms
a. By participating in the Program, the Participant agrees to:
i. Comply with all applicable laws and regulations when participating in the Program;
ii. Comply with the SPX Policies; and
iii. Not participate in the Program in any way that may adversely affect other persons or SPX’s goodwill or reputation.
b. By participating in the Program, the Participant confirms that they have read, understood, and accepted all terms set out in these Terms and Conditions.
c. SPX may use the Participant’s profile image and account name registered with SPX for communication and promotional purposes.
d. In the event of any dispute relating to the Program, SPX has the final decision-making authority. This includes the officially announced referral results and the value of the Reward granted to the Participant, and such decision is final and binding on all relevant parties.
e. SPX may refuse, suspend, not recognize, offset, and/or recover all or part of any Rewards or other benefits already recognized or paid to the Participant if the Participant does not meet the Program conditions, or if SPX has grounds to determine or reasonably suspect that the Participant has committed, participated in, supported, colluded in, or facilitated any fraudulent act, abuse, or non-compliance with the Program rules and/or SPX operational policies in effect from time to time.
f. SPX may offset the above amounts against any payment, Reward, or benefit that the Participant may receive under this Program or any other SPX program (if any). Any refusal to recognize, offset, or recover such amounts may be applied independently and in parallel with other disciplinary or remedial measures under SPX regulations, HR policies, labor rules, and/or other internal policies in effect from time to time. A violating Participant will not be entitled to any benefit arising from such non-compliant conduct.
g. SPX’s decision regarding verification of misconduct, determination of Customer validity, transactions, Program participation results, and Program-related benefits will be the final basis for recognition, non-recognition, offset, and/or recovery of benefits under the Program.
h. Individuals receiving Rewards under this Program are responsible for finalizing and fulfilling their personal income tax obligations in accordance with applicable law.
i. The Program and the SPX website/application are provided on an “as is” and “as available” basis, subject to the availability and functionality of SPX services. SPX makes no representation, warranty, and/or commitment regarding the performance or operability of the SPX website/application; any software or hardware used to access and participate in the Program, including but not limited to access to and use of the SPX website/application by any individual; or the reliability or quality of the underlying telecommunications networks used by any individual during the Program period.
j. If for any reason any aspect of the Program cannot be carried out as planned due to communication network failure, software failure, tampering, fraud, technical error, or any cause beyond SPX’s control, SPX may cancel, terminate, modify, and/or suspend the Program and may refuse to recognize any results.
k. SPX has the right to make the final decision and resolve any disputes relating to the Program. In connection with SPX’s rights under this Section, SPX may disqualify a Participant from the Program and/or take any other action under the SPX Policies if SPX determines, at its sole and absolute discretion, that the Participant has engaged in or is associated with any suspicious, fraudulent, unlawful, or abusive conduct, or has violated these Terms and Conditions and/or any SPX Policies, including but not limited to opening multiple SPX accounts.
l. To the maximum extent permitted by applicable law, SPX will not be liable for any claim, cost, injury, loss, or damage of any kind arising out of or in connection with this Program, including but not limited to direct, indirect, incidental, punitive, or non-contractual damages; fines; government actions; claims, costs, injuries, losses, or damages relating to personal injury or death; damage to, loss of, or destruction of property; or claims relating to rights of publicity, privacy, defamation, or misrepresentation.
m. The Participant is solely responsible for any content used in connection with this Program, including but not limited to the Participant’s responsibility and commitment to obtain clear and valid consent from the Customer for the sharing of Customer information for Program participation, as well as the legality of intellectual property rights and the accuracy of all content used throughout the Program, whether any dispute arises before, during, or after the Program. For clarity, in such case, the Participant is responsible for holding SPX harmless against any claims, actions, losses, or damages relating to or arising from the information used by the Participant to participate in the Program, including but not limited to Customer claims relating to personal data.
n. SPX may amend these Terms and Conditions without prior notice, and may withdraw or discontinue the Program at any time without notice or liability to any related party. The Participant agrees that it is their own responsibility to proactively access, review, and keep updated on any adjustments, amendments, or supplements to these Program Terms. Continued participation in the Program after any adjustment, amendment, or supplement will be deemed the Participant’s confirmation and acceptance of such changes, and all such changes will validly apply to the Participant.
o. SPX will not be responsible for performing any obligation under these Terms and Conditions where events occur beyond SPX’s control, including but not limited to natural disasters, pandemics or epidemics, government actions or restrictions, internet or telecommunications failures, cyberattacks, server outages, third-party platform disruptions, labor disputes, war, or acts of terrorism.
p. Any and all rights relating to the interpretation and construction of these Terms and Conditions belong to SPX. SPX acknowledges that SPX, and not any third party, will be responsible for resolving any claims that the Participant or any third party may have in connection with the Program.
q. Unless otherwise stated, all references to time of day are references to Vietnam time.
