Terms and Conditions

I. Partial Delivery Service

A.The Partial Delivery Service is a service provided by SPX under which, in respect of 01 (one) Postal Item (also referred to as an "Order", depending on the specific context), the sender of the Postal Item (the "Sender") may send multiple products. The recipient of the Postal Item (the "Recipient"), who may be the Buyer or a party lawfully receiving the Postal Item on the Buyer's behalf, may count each product contained in the Postal Item. The Recipient may then accept some or all of the products in the Postal Item created on SPX's system. Any products that the Recipient refuses to accept will be returned by SPX to the Sender based on the Postal Item information in the Order created on SPX's system.
B.The Sender and the Recipient must understand the scope of application of the service set out in Section II before electing to use the Partial Delivery Service. In addition, the Customer must comply with the "Regulations on Complaint Handling and Compensation", SPX's Terms of Service (and any other applicable terms of service published on the website at https://spx.vn, collectively referred to as the "SPX Policies").
C. A Customer electing to use the Partial Delivery Service shall be fully responsible for any damage to, impairment of the integrity of, or loss of goods occurring in the course of the Recipient's counting and acceptance of products in the Postal Item and the return of products to the Sender. Accordingly, the Sender and the Recipient, jointly and severally, release and hold SPX harmless from any loss, damage, or dispute arising from the Customer's use of this service, including without limitation any matter referred to above, except where it is clearly established on a reasonable basis that such loss, damage, or dispute arises entirely from SPX's fault in the course of providing the service.
D. By using the Partial Delivery Service, the Customer understands and agrees that SPX's receipt of some of the products in the Postal Item for return to the Sender will be carried out based on the information and instructions provided by the Sender (including information clearly recorded in the "seller's notes" field), taking into account the actual condition of the Postal Item during product counting and SPX's objective and reasonable assessment of whether different types of goods or their distinguishing characteristics can be identified (for example, where such characteristics are difficult to identify with the naked eye or through ordinary knowledge). Accordingly, notwithstanding any other provision of these Terms and Conditions, SPX shall have no liability in connection with or arising from any discrepancy or inaccuracy in the products returned to the Sender where such discrepancy or inaccuracy arises from or relates to: (i) incomplete, inaccurate, or unclear information or instructions provided by the Sender; (ii) products that do not have sufficient identifying characteristics to be reasonably distinguished; (iii) the Recipient handing over incorrect products; or (iv) other circumstances as objectively and reasonably determined by SPX, having regard to the relevant documents and information. SPX recommends that the Sender consider the types of products included in a Postal Item when selecting the Partial Delivery Service, provide accurate, clear, and detailed notes and instructions, and communicate with the Recipient to best protect the Sender's interests.
E. For any Postal Item returned because the Recipient accepts only some of the products, SPX will package the products in accordance with SPX's Packaging Regulations for return to the Sender.
F. Notes
a) SPX may refuse to provide the Partial Delivery Service for Orders that do not contain more than one product, where separating any product would clearly damage or affect the characteristics of the goods, or where providing the service presents a high risk, as determined by SPX and in accordance with the SPX Policies from time to time.
b) Where a Postal Item does not match the products declared by the Sender on SPX's system, SPX may decline to provide the Partial Delivery Service unless otherwise expressly agreed and the requirements of SPX, the SPX Policies, and applicable law concerning updates to Postal Item information are satisfied. If SPX nevertheless proceeds with delivery of an Order using the Partial Delivery Service, the Recipient may, depending on the circumstances, accept all of the products in the Postal Item, accept some of the products in the Postal Item, or refuse to accept the Postal Item.
c) These Terms and Conditions may be updated from time to time to ensure service quality and protect the Customer's interests. The Customer must regularly check SPX's website for updates in order to protect its interests. The Customer's continued use of, or benefit from, the Partial Delivery Service constitutes the Customer's acceptance of and agreement to the relevant updates from time to time.
G. Recipient's Responsibilities When Selecting Products
a) When inspecting products in a Postal Item, the Recipient must preserve the integrity and quality of the products. Accordingly, the Recipient must not, including without limitation, tear any labels or tags, anti-counterfeit labels, individual seals, or packaging of any product inside the Postal Item, or damage, drop, break, scratch, or alter the structure or original condition of any product during the selection process. If any damage to or loss of a product occurs during the Recipient's inspection, the Recipient shall be liable to the Sender and SPX, including without limitation by paying for the damaged product as agreed with the Sender.
The Sender and the Recipient understand and agree that SPX has no responsibility for any damage or loss arising between them during product inspection. The Sender and the Recipient shall independently reach agreement and work with each other if any such damage or loss occurs. For clarity, such damage or loss shall not be deemed or constitute a circumstance in which the Customer may request compensation from SPX under the SPX Policies or the laws governing postal services.
To ensure transparency, during the provision and performance of the Partial Delivery Service, the Customer understands and expressly agrees that SPX may photograph and/or record the entire process of receiving the Postal Item and inspecting the products as part of SPX's operational procedures, and may record information for the purpose of supporting the handling of related complaints (if any).
By using this service, the Recipient agrees that SPX may collect, store, and/or share such data with relevant parties for the purpose of providing the service and in accordance with the SPX Privacy Policy. If the Recipient does not agree to the photographing and/or recording of the process of receiving the Postal Item and inspecting the products, SPX may, at its sole discretion, refuse to allow the Recipient to count the products and accept a partial delivery.
b) The Recipient must pay the cash-on-delivery amount (the "COD Amount") and shipping fees (if any) in accordance with the terms agreed with the Sender (as recorded by the Sender on SPX's system or as agreed through communications between the Recipient and the Sender and validly communicated to SPX, depending on the specific circumstances). Such payment may be made for each product or for the entire Order upon receipt of the Postal Item, depending on the information updated by the Sender on SPX's system or other arrangements accepted by SPX.
c) The Partial Delivery Service only enables the Recipient to count and accept some or all of the products in a Postal Item created on SPX's system. The Recipient MUST NOT take any other action in respect of the Postal Item, including without limitation using or trying out the products (trying on clothing, testing electronic devices, etc.), unless the Sender has selected the corresponding value-added service (for example, the Product Trial Service).
H. Sender's Responsibilities When Agreeing to Use the Partial Delivery Service
a) Read, understand, and accept the Terms and Conditions of the Partial Delivery Service, including the relevant charges, delivery times, policies applicable to high-value Postal Items (if any), and other relevant SPX Policies.
b) When using the Partial Delivery Service, the Sender will receive a confirmation call from the SPX Courier before the Order is delivered to the Recipient. The Sender must proactively follow the SPX Courier's instructions, including accurately confirming information concerning the quantity and value of the products to be delivered to the Recipient, and proactively updating notes and instructions concerning partial delivery to the Recipient on the website, app, or other order-creation platform used to create the Order.
For clarity, accurate and clear partial-delivery instructions updated by the Sender on the website, app, or other order-creation platform shall be one of the bases, together with other documents under the SPX Policies, for resolving disputes, complaints, and legal proceedings among the Sender, the Recipient, and SPX, as applicable in each specific case.
c) The Sender is responsible for answering the call from the SPX Courier to confirm the quantity and types of products that the Buyer wishes to accept. The Sender must then adjust the COD Amount for the Order within five (5) minutes after the call with the SPX Courier ends.
d) The Sender must ensure the accuracy and completeness of the product information for the Postal Item. If there is any error or actual discrepancy from the information recorded by the Sender on SPX's system, the Sender shall bear all responsibility and risk in respect of such error or discrepancy (including without limitation inaccurate information, incomplete information, or differences in information) and release SPX from all liability in connection with the return, handling, or compensation in respect of any incorrect product. In any dispute concerning the accuracy and completeness of the information for the Postal Item, the unpacking video (product inspection by the Recipient) shall be given priority consideration in accordance with the principle set out in item (m) below.
e) For products that do not match the declaration, the Sender acknowledges that SPX has the right (but not the obligation) to deal with such products (including by destroying them) at SPX's sole discretion. However, the Sender shall remain responsible for all legal liabilities arising in connection with such products.
f) Before electing to use the Partial Delivery Service, the Sender must notify the Recipient and ensure that the Recipient understands and agrees to these Terms and Conditions, the SPX Privacy Policy, and other requirements relating to the use of the Partial Delivery Service, including provisions concerning SPX's taking of photographs and making of video recordings in connection with this service.
g) The Sender is responsible for resolving product-related issues after delivery, such as returns, exchanges, or warranty claims, in accordance with the Sender's policies.
h) Respond promptly if any issue or incident occurs during delivery so that support can be provided and the issue can be resolved.
i) For an Order with no COD Amount where the Recipient accepts only some of the products in the Postal Item, the Partial Delivery Service does not include SPX's support for or collection of any price difference from the Recipient, regardless of any instruction or request received by SPX from the Sender. The Sender and the Recipient shall agree between themselves how to handle the price difference, which is not part of or related to the service provided by SPX. SPX shall have no liability for any complaints, legal proceedings, or claims for damages relating to this matter.
j) The Sender undertakes to indemnify and hold SPX harmless from any complaints or legal proceedings and shall bear all liabilities related to or arising from any third-party application and/or software used by the Sender that connects to or exchanges data with SPX's system. For clarity, such liabilities include without limitation risks and losses arising from the use of the Partial Delivery Service in connection with discrepancies in the Order value, including return shipping fees, and/or discount codes or promotional codes applied to Orders.
k) Where the Recipient is permitted to try the products, the Sender must additionally select the "Product Trial Service" tag and comply with the separate Terms and Conditions of the Product Trial Service.
l) Bear all responsibilities and risks arising from this service and release SPX from liability in relation to the foregoing matters.
m) Where a dispute arises regarding a discrepancy between the Seller's product declaration and SPX, SPX will rely on the unpacking/product inspection video to resolve the dispute.
I. When the Recipient Agrees to Use the Partial Delivery Service
a) By using the Partial Delivery Service (including without limitation counting the products, accepting some or all of the products, or refusing to accept the Postal Item), the Recipient agrees to the Terms and Conditions of the Partial Delivery Service and the SPX Privacy Policy.
b) The Recipient authorizes the SPX Courier to record the process of receiving and opening the Postal Item.
c) The Recipient agrees to carry out the partial delivery in accordance with Section I(G) and the rules and instructions of the SPX Courier handling the delivery.
d) The Recipient may not request to accept only part of, or separate any part of, 01 (one) product in the list of products declared by the Sender when creating the Order on SPX's system.
e) Where the Recipient agrees to:
  • Accept the entire Postal Item: The Recipient is responsible for paying the full COD Amount and shipping fees (if any) to the SPX Courier.
  • Accept part of the Postal Item: The Recipient is responsible for paying the COD Amount and shipping fees (if any) corresponding to the amount adjusted by the Seller. The Recipient is also responsible for returning the shipping box/outer packaging to the SPX Courier for packaging the products to be returned.
f) If the Recipient discovers that the Postal Item contains additional or incorrect products compared with the information declared by the Sender, SPX will handle the matter in accordance with its procedures and the SPX Policies. If the Recipient expressly accepts the Postal Item, SPX shall not be liable for any dispute, complaint, legal proceeding, or claim for damages arising in connection with the Postal Item after the Recipient has accepted it.
g) SPX may, at its sole discretion, refuse to provide any service to the Recipient, including without limitation assistance with the Recipient's request to return some of the products in a Postal Item after the Postal Item using the Partial Delivery Service has been successfully delivered to the Recipient, unless otherwise expressly agreed and validly accepted by SPX and the Sender.

II. Scope of Application

A.The Partial Delivery Service DOES NOT apply to Postal Items that:
a) Do not bear a tag indicating the Sender's request to use the Partial Delivery Service.
b) Contain sharp products, including without limitation knives, scissors, and other cutting tools.
c) Contain products in the Fresh and Frozen Food category.
d) Contain certain products in the Dairy - Eggs category, including without limitation creamer powder, animal-based and plant-based butter, cheese and cheese powder, ice cream, eggs, and tofu.
e) Contain ornamental plants or automobiles.
f) Are located in restricted areas where the service is not yet available, as determined by SPX from time to time.
B. If the Order additionally includes the Product Trial Service, the list of excluded products must also comply with the Terms and Conditions of the Product Trial Service.

III. Regulations on Complaint Handling and Compensation

The Company's general Regulations on Complaint Handling and Compensation, as set out here, shall apply.

IV. General Terms

A. By using or benefiting from the Partial Delivery Service, the Customer accepts and agrees to be bound by and comply with these Terms and Conditions and any rules and regulations relating to the Partial Delivery Service, together with the Terms of Use, the SPX Privacy Policy, and all then-current terms and conditions and/or policies of SPX in effect on SPX's website and/or app (the "SPX Policies"), which are incorporated herein as part of the Program Terms.
B. To the maximum extent permitted by applicable law, SPX shall not be liable for any claim, cost, injury, loss, or damage of any kind arising from or relating to the Customer's use of the Partial Delivery Service that is not caused by SPX (taking into account the fault of the relevant parties, including the Customer), including without limitation any loss; direct, indirect, incidental, punitive, or non-contractual damages; fines; actions of governmental authorities; claims, costs, injuries, losses, or damages relating to personal injury or death; damage to, loss of, or destruction of property; infringement of rights of publicity or privacy; or defamation or misrepresentation.
C. SPX shall not be responsible for performing any obligation under these Terms and Conditions in the event of, or in respect of, events beyond SPX's control, including without limitation natural disasters, pandemics or epidemics, governmental acts or restrictions, internet or telecommunications failures, cyberattacks, server outages, third-party platform disruptions, labor disputes, or acts of war or terrorism.
D. SPX has no obligation to verify or determine any specialized characteristics, latent features, materials, quality, authenticity, functionality, item codes, models, or other characteristics of the products where such characteristics cannot reasonably be identified or distinguished by visual inspection or based on the information, documents, and instructions provided by the Sender.
E. SPX may amend these Terms and Conditions of the Partial Delivery Service and will notify the Customer of such amendments in any manner SPX deems appropriate (including without limitation publishing the updated version on SPX's website and/or app, sending a notice to the Customer's SPX account, or using appropriate advisory and communication channels). You agree that you are solely responsible for proactively accessing, reviewing, and keeping yourself updated on all revisions, amendments, and supplements relating to the Partial Delivery Service. Your continued use of the Partial Delivery Service after any revision, amendment, or supplement shall be deemed to constitute your confirmation and acceptance of that revision, amendment, or supplement, and all such revisions, amendments, and supplements shall validly apply to you.
