“Group Shipping – Enjoy Wholesale Rates”

TERMS AND CONDITIONS

The “Group Shipping – Enjoy Wholesale Rates” Program (the “Program”) is implemented by SPX Express Company Limited (“SPX”, “SPX Express”, or the “Company”, as the context may require), having its registered address at 25th Floor, Saigon Centre 2 Building, 67 Le Loi Street, Saigon Ward, Ho Chi Minh City, Vietnam, with the following details and terms:

1. Program Coverage

Nationwide, Vietnam.

2. Program Mechanism

Customers using postal services provided by SPX will be granted shipping service promotional codes.

3. Program Period

The Program will be conducted from 22 July 2026 to 31 December 2026, or until the allocated quantity/value of the gifts has been fully distributed or exhausted, or as otherwise determined by SPX, whichever occurs first.
For the avoidance of doubt, SPX may, at any time and at its sole discretion, adjust the duration of the Program.

4. Eligibility

Customers who fully satisfy the conditions set out below at the time of registration and throughout their participation in the Program will be reviewed and confirmed by SPX as eligible to participate in the Program:
  • The Customer is not using any Uniform Rate Card or Special Policy at the time of joining the Program and throughout the Customer’s participation in the Program;
  • The Customer registers to participate in the Program and is deemed to have agreed to the Terms and Conditions applicable to the Program by providing the Customer’s information in the Program registration form prescribed by SPX and joining the working group created by SPX on the Zalo platform; and
  • The Customer is recorded as a member of an Eligible Customer Group.
For the purposes of these Terms and Conditions, an “Eligible Customer Group” means a Customer Group that fully satisfies all of the following requirements and conditions:
  • The group consists of one Existing Customer (as defined in the Notes below) or one New Customer (as defined in the Notes below) inviting other New Customers to join the group (collectively, the “Customer Group”);
  • The group consists of a minimum of 2 Customers and a maximum of 100 Customers; and
  • The group includes no more than 1 Existing Customer at the time the Customer Group is established, and all remaining members of the group must be New Customers who have never used SPX’s postal services as of the time they join the Customer Group.
Notes:
  • “Existing Customer” means a Customer for whom SPX has successfully recorded at least one order inbound into SPX’s warehouse before the Customer Group is established.
  • “New Customer” means a Customer for whom SPX has never recorded any order as inbound into SPX’s warehouse as of the time such Customer joins the Customer Group.

5. Program Participation Process

  • Step 1: Customers who wish to participate in the Program shall register using the form provided by SPX via [...].
  • Step 2: SPX will contact each Customer to verify and confirm the participation information.
  • Step 3: SPX will create a working group on the Zalo platform comprising all Customers belonging to the same group (thereby establishing a Customer Group).
  • Step 4: All Customers in the Customer Group shall coordinate to generate orders in order to achieve the applicable “Target Volume”.
  • Step 5: SPX will review the valid group order volume of the Eligible Customer Group.
For the avoidance of doubt, “Valid Group Order Volume” means the total valid order volume generated by all Customers who remain members of the same Eligible Customer Group, calculated from the time the Customer Group is established. The establishment time of the Customer Group shall be the time at which SPX completes the setup of the Customer Group’s working group.
However, for any Customer whose average order volume during a review period (i.e., Period 1 and Period 2 as defined below) is less than 20 valid orders per day, the orders generated by such Customer will not be included in the Valid Group Order Volume, and such Customer will not be entitled to the applicable benefits of the Eligible Customer Group for the relevant review period.
The Valid Group Order Volume of the Eligible Customer Group will be reviewed on a periodic basis as the basis for granting promotional codes, as follows:
  • Period 1: From the 1st to the 15th day of each month;
  • Period 2: From the 16th day to the last day of each month.
For the purposes hereof, “Valid Order” means an order generated by a Customer belonging to the Eligible Customer Group and successfully recorded in SPX’s system as having been inbounded into the warehouse during the relevant review period.
Promotional codes will be granted to each eligible Customer who belongs to a group that achieves the applicable volume thresholds specified in Section 6, within seven (7) business days from the end of each review period.
If the end date of a review period or the date of granting the promotional codes falls on a public holiday or other statutory holiday, the end of such review period and/or the granting of the promotional codes shall take place on the next Business Day.
For the purposes of this Program, “Business Day” means any day of the week other than Saturday, Sunday, and public holidays or statutory holidays as prescribed by applicable laws.
The final review results and the applicable promotional benefit (if any) shall be determined by SPX based on the data recorded in SPX’s system.

6. Reward Structure (Reward Type, Reward Value and Number of Rewards)

Based on the Valid Group Order Volume during each review period, SPX will grant shipping service promotional codes according to the following thresholds:
  • A group achieving an average volume of 70–199 orders per day: a promotional code worth up to VND 1,000 per order;
  • A group achieving an average volume of 200–999 orders per day: a promotional code worth up to VND 2,000 per order;
  • A group achieving an average volume of 1,000–1,999 orders per day: a promotional code worth up to VND 2,500 per order; and
  • A group achieving an average volume of 2,000 orders per day or more: a promotional code worth up to VND 3,000 per order.
The value of the promotional code shall not exceed 50% of the shipping service fee applicable at the time of use.Each Customer may be subject to a different promotional benefit depending on the applicable pricing policy and conditions at the relevant time. SPX shall have the final authority to determine the promotional benefit applicable to each Customer.If the promotional benefit applicable to the group is more favorable than the current rate applicable to a Customer, the more favorable pricing policy shall apply.

7. Other Program Terms

  • Customers participating in this Program may not simultaneously benefit from other promotional programs, including but not limited to loyalty program benefits, promotional codes, special offers, and other similar incentives.
  • By participating in the Program and continuing to remain a member of the Customer Group, the Customer is deemed to have read, understood, and agreed to these Terms and Conditions.
  • Each Customer may participate in only one (1) Customer Group at any given time.

Group Order Mechanism

  • Orders shall be created and managed independently by each Customer and shall not alter the Customer’s existing operational processes.
  • The order volume generated by Customers within the same Customer Group will be aggregated solely for the purpose of monitoring and evaluating the performance of the Customer Group.
  • Customers within the same Customer Group are not required to operate in the same geographical area.

Customer Group Management

Customers may join or leave a Customer Group in accordance with the mechanism prescribed by SPX, as follows:
  • Inviting additional members to the Customer Group: Members of a Customer Group may invite additional Customers to join the group and submit the relevant Customer information through the designated form. SPX will review and approve the admission of such Customers to the relevant Customer Group based on the information provided.
  • Leaving the Customer Group: A Customer may leave the Customer Group by completing the Program form provided by SPX in the Customer Group. At its discretion, SPX will notify the Customer’s departure directly in the working group on Zalo and invite such Customer to leave the working group. For the avoidance of doubt, upon leaving the Customer Group, any promotional codes being applied to such Customer under the Program will cease to be effective from the time the Customer leaves the Customer Group.
  • If SPX detects any fraudulent or suspected fraudulent activity, SPX reserves the right to remove the relevant Customer from the Customer Group and immediately terminate all benefits and entitlements related to the Program.
  • If a Customer leaves a Customer Group during a review period and subsequently establishes or joins a new Customer Group, the order volume generated by such Customer will only be counted toward the new Customer Group from the time the new Customer Group is confirmed by SPX. Any order volume generated before such confirmation will not be counted toward the results of any Customer Group.

TERMS AND CONDITIONS

A. General Provisions

  1. These terms and conditions shall govern and apply to your participation in the Program.
  2. By participating in the Program, Participants acknowledge and agree to be bound by these terms and conditions and any rules and regulations relating to the Program (“Program Terms”), together with the Terms of Use, Privacy Policy, and all applicable SPX terms, conditions, and/or policies in force on the SPX website and/or application (“SPX Policies”), all of which are incorporated herein by reference as part of these Program Terms.
  3. You agree that SPX may collect, store, process, use, and/or transfer the personal data provided by Participants during or in connection with the Program (including but not limited to your name, image, voice, likeness, and/or biographical information) for the purpose of administering the Program, related activities arising from the Program, advertising, marketing, and other purposes without additional compensation to you. Clause 3 shall be implemented in accordance with applicable laws and SPX’s Privacy Policy.

B. Program Eligibility

  1. Any individual/entity participating in the Program in accordance with Section 4 of the Program Rules shall be eligible to participate.
  2. SPX reserves the sole right to determine whether any individual/entity is eligible to participate in and/or be disqualified from the Program. For example, an individual may be disqualified if SPX detects fraudulent activities, including but not limited to the use of multiple SPX accounts or any conduct violating SPX Policies.

C. Other Provisions

  1. Vouchers granted as rewards or gifts under the Program are non-transferable, non-refundable, and may not be exchanged for cash or converted in any form.
  2. Vouchers granted under this Program may not be redeemed for cash, converted into other rewards, or reissued for any reason. Vouchers shall only be valid for and granted to Participants who directly participate in the Program and satisfy the eligibility requirements under these Program Terms. Such Vouchers and their usage shall only be valid on the SPX website and/or application and/or partner platforms expressly authorized by SPX from time to time, and shall strictly comply with all applicable SPX Policies in force at the relevant time. SPX strictly prohibits any activities involving the trading, transfer, or monetization of Vouchers.
  3. Nothing herein or under any SPX Policies shall be construed or interpreted (whether directly or indirectly, expressly or impliedly) as Vouchers constituting an alternative payment method on the SPX website and/or application.
  4. By participating in the Program, you agree at all times to: a. comply with all applicable laws and regulations relating to the Program; b. comply with SPX Policies; and c. not participate in the Program in any manner that may adversely affect other individuals or the goodwill or reputation of SPX.
  5. The Program and the SPX website and/or application are provided on an “as is” and “as available” basis, subject to the availability and functionality of SPX services. SPX makes no representations, warranties, and/or guarantees regarding the performance or operation of the SPX website and/or application, any software or hardware used to access and participate in the Program, including but not limited to an individual’s access to and use of the SPX website and/or application, and the reliability or quality of underlying telecommunications networks used during the Program period.
  6. If, for any reason, any aspect of the Program is unable to operate as planned due to communication network failures, software failures, tampering, fraud, technical failures, or any causes beyond SPX’s reasonable control, SPX reserves the right to cancel, terminate, modify, and/or suspend the Program and invalidate any affected results.
  7. SPX reserves the right to make the final decision and resolve any disputes relating to the Program. In connection with the rights set out in this Clause, SPX may at any time, whether before, during, or after the Program period, disqualify Participants (as further set out in Section B of these Program Terms), cancel orders, revoke any Voucher, and/or take any other actions in accordance with SPX Policies if SPX determines, at its sole discretion, that a Participant has engaged in or is connected with suspicious, fraudulent, unlawful, abusive conduct or violations of these Program Terms and/or SPX Policies, including but not limited to the creation of multiple SPX accounts.
  8. To the fullest extent permitted by applicable law, SPX shall not be liable for any claims, costs, injuries, losses, or damages of any kind arising from or in connection with the Program or the receipt of any Voucher, including but not limited to direct, indirect, incidental, punitive, or consequential damages; penalties; governmental actions; claims relating to personal injury or death; property damage or loss; or violations relating to publicity rights, privacy rights, defamation, or misrepresentation.
  9. You shall be fully responsible and liable for any content used in connection with the Program, including but not limited to the legality of intellectual property rights and the accuracy of such content throughout the Program period. You agree to indemnify and hold SPX harmless against any liabilities arising from disputes occurring before, during, or after the Program.
  10. SPX reserves the right to amend these Program Terms without prior notice, or to withdraw or terminate the Program at any time without notice or liability to any party. You acknowledge that you are solely responsible for regularly reviewing and updating yourself on any amendments, modifications, or supplements to these Program Terms. Your continued participation in the Program following any amendment, modification, or supplement shall constitute your acceptance of such changes, which shall be validly binding upon you.
  11. Unless otherwise expressly stated by SPX, you shall be responsible for all taxes, duties, fees, and other charges arising from or relating to your participation in the Program in accordance with applicable laws.
  12. SPX shall not be liable for any failure to perform its obligations under these Program Terms due to events beyond SPX’s reasonable control, including but not limited to natural disasters, pandemics or epidemics, governmental actions or restrictions, internet or telecommunications failures, cyberattacks, server downtime, third-party platform interruptions, labor disputes, war, or terrorism.
  13. In the event of any inconsistency between these Program Terms and any marketing or promotional materials, these Program Terms shall prevail unless otherwise expressly determined in writing by SPX.
  14. Any and all rights relating to the interpretation and construction of these Program Terms shall belong solely to SPX. SPX acknowledges that SPX, and not any third party, shall be responsible for handling and/or resolving any complaints raised by Participants or third parties relating to the Program.
  15. Any reference to a time of day shall refer to Vietnam time unless otherwise stated.
